These Terms of Service (“Terms”) govern your use of myReply, a product of BrightCube Software LLC (“we,” “us,” or “our”). By creating an account, you agree to these Terms.
1. Acceptance of Terms
By creating an account and using myReply (the “Service”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
myReply is an AI assistant platform for service businesses that helps you:
- Create and configure AI assistants that answer common customer questions
- Publish chat pages that your customers can visit to reach your business
- Store knowledge, FAQs, and business details used to ground your assistants' replies
- Review conversations between customers and your assistants
- Take over a conversation manually when needed
3. Payments and Billing
myReply may offer free and paid plans. If you subscribe to a paid plan:
- Billing is processed by Stripe. By subscribing, you agree to Stripe's terms of service.
- Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- You can cancel your subscription at any time through the Settings page. Cancellation takes effect at the end of the current billing period.
- We do not offer prorated refunds for partial billing periods unless required by law.
- We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing period.
4. Your Data and Ownership
You own your data. All business details, assistant configurations, knowledge you upload, and conversations that occur in your chat pages remain your property.
By using the Service, you grant us a limited license to:
- Store and process your data to provide the Service
- Use AI to generate replies on your assistants' behalf
- Transmit data to third-party providers as described in our Privacy Policy
- Create backups for disaster recovery
- Improve the Service's functionality
We will never sell your data or use it for purposes beyond providing and improving the Service.
5. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring the accuracy of the knowledge and instructions you provide to your assistants
- Reviewing AI-generated messages and taking over conversations when needed
- Complying with applicable laws and regulations in your jurisdiction
6. AI Output and Disclaimers
This Service is NOT Professional Advice
myReply is a communication tool. AI-generated replies are not legal, medical, financial, tax, or other professional advice. Neither you nor your customers should rely on AI output for decisions that require a qualified professional.
AI Replies May Be Incorrect
The Service uses artificial intelligence to generate responses based on the knowledge and instructions you provide. AI-generated output may contain errors, omissions, or hallucinated details.
You are responsible for:
- Keeping your assistants' knowledge accurate and up to date
- Monitoring conversations and correcting incorrect replies
- Disabling your assistants if they are not behaving appropriately
We make no guarantees regarding the accuracy, completeness, or appropriateness of AI-generated replies.
7. Customer Communication
When you publish a myReply chat page or enable an AI assistant, myReply may send automated replies to people who contact you. You acknowledge that:
- You are the controller of your customers' data and are responsible for informing them how their data is processed
- AI-generated replies are sent on your behalf and under your responsibility
- We are not liable for the content, accuracy, or appropriateness of AI-generated replies sent to your customers
- You are responsible for complying with applicable messaging, consumer protection, and advertising laws
- You can disable AI replies or take over conversations manually at any time
8. No Guarantees
We provide the Service “as is” without warranties of any kind, including but not limited to:
- Accuracy or appropriateness of AI-generated replies
- Delivery of messages to your customers
- Uninterrupted or error-free operation
- Fitness for any particular purpose
You use the Service at your own risk and are solely responsible for how your assistants communicate with your customers.
9. Limitation of Liability
To the maximum extent permitted by law, BrightCube Software LLC shall not be liable for:
- Any indirect, incidental, or consequential damages
- Lost profits, lost customers, or business interruption
- Errors in AI-generated replies
- Actions taken by third-party services (Stripe, AI model providers, infrastructure providers, etc.)
- Unauthorized access resulting from your failure to secure your credentials
Our total liability to you for any claims shall not exceed the amount you paid us in the past 12 months (or $100 if you have not paid us).
10. Your Responsibilities
You agree NOT to:
- Use the Service for illegal purposes
- Use the Service to send spam, harass, deceive, or defraud others
- Configure assistants to impersonate a person without clear disclosure that replies are automated
- Upload content you do not have the right to use
- Attempt to hack, compromise, or interfere with the Service
- Share your account with unauthorized users
- Upload malware, viruses, or harmful code
- Violate any applicable laws or regulations
11. Account Termination
You May Terminate
You may delete your account at any time through the Settings page. Upon deletion:
- Your access to the Service will be revoked
- Your published chat pages will be taken offline
- Your assistants will stop responding to new messages
- Your data will be permanently deleted within 30 days
- Active subscriptions will be cancelled
- This action cannot be undone
We May Terminate
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You engage in abusive or fraudulent behavior
- You use the Service to send spam or harassing content to consumers
- Required by law
We will provide reasonable notice unless immediate termination is necessary.
12. Multi-User Businesses
If you add team members to your business:
- You are responsible for managing their access and permissions
- You grant them access to your assistants, knowledge, and conversation history according to the permissions you set
- You are responsible for their actions within your business account
13. Changes to These Terms
We may update these Terms from time to time. When we do:
- We will update the “Effective Date” and version number at the top of these Terms
- Significant changes will be communicated via email or in-app notification
- Continued use of the Service after changes constitutes acceptance of the updated Terms
14. Governing Law
These Terms are governed by the laws of the State of Nevada and the United States, without regard to conflict of law principles.
Any disputes shall be resolved in the state or federal courts located in Nevada.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BrightCube Software LLC regarding the use of myReply.
